Joint Ventures

The firm has helped several clients in formation of joint ventures including providing services of structuring the JVCO, support in legal, financial and commercial terms, drafting of agreements, negotiations and discussions with the JV partner, valuations and feasibility studies of the projects, etc. Our experience is across several territories and jurisdictions and involves a different industrial segments including technology, communication, manufacturing and services. We have helped organisations and partners in finding innovative solutions for specific needs of a joint venture.

The varied experience of the firm includes the following JVs formed in recent past:

  • Indian JV between a listed Chinese Company and Indian company for the manufacture of extra high voltage transformers
  • Indian JV between a local self-government and a listed government company for city gas distribution by combining existing businesses of both JV partners and creating synergies of JV
  • A JV in China between a Chinese Company and UAE subsidiary of an Indian company for distribution of wear and tear materials in China
  • A multiparty JV in India involving a US corporation and 2 unrelated Indian Companies for the manufacture of cast alloys where respective strengths of each joint venture partners were combined to create synergy.
  • For business and manufacturing operations in African region a JV was formed in UAE involving an Indian company and an individual with entrusted responsibilities of management of the business
  • A JV for manufacturing high value Alloys in Special Economic Zone in India between an Indian entity, an Indian Investor and a subsidiary of a Japanese Corporation;
  • A manufacturing JV between a German Company and an Indian Entity which involved a two-step process of stabilization of the product and its acceptability in international market and then having financial JV.
  • A JV between investors and Indian Listed Company (together with its foreign subsidiaries) for manufacturing cement in African Region primarily for meeting the balance funds requirement in funding the project
  • Setting up of a JV headquartered in USA by an Indian Company, a US technology company and mix of investors in the area of telecom data related application and platforms.
  • A JV between Indian Subsidiary of a Austrian Group and a Japanese Group for manufacture, supply and marketing of high value specialty chemicals.
  • A JV between a Indian Pharma company and a multi-national Germany based group engaged in similar product line with the twin objective of improving the global presence of the Indian Company and better penetration of products of MNC in India.
Business Reorganization

KCM has supported a number of clients in the process of restructuring their businesses. The Firm supports not only the decision making but also the cross functional implementation of the restructuring process. The firm has helped business entities for carrying out the restructuring for various reasons including as growth strategy, business separations, funding requirements, achieving better tax efficiencies, reducing the compliance requirements, overall reduction of the costs, etc.

Some of the assignments handled by us include:

  • Devising the strategy for legal separation of an entity into two, based on the business segments of the company for achieving focused growth in each of the business segments after evaluating alternative methods. Also led the entire cross-functional team involved in the restructuring process and co-ordinated the efforts of the team in different areas including manufacturing operations, registrations and approvals and obtaining consents.
  • Advised a company engaged in the laying of transmission lines, for re-looking at the manner of setting up project offices in different countries where the projects were undertaken for better tax efficiency and risk mitigation, with aim to have truly global operations over a period of time.
  • The firm advised a pharmaceutical bulk drug manufacturing company in re-organisation of its business, when its entire net-worth was eroded due to losses incurred on account of sudden changes in the environmental laws, to emerge as very profitable company of high repute in its field.
Mergers and Acquisitions

The firm has been very active in delivering services in the area of mergers and acquisitions where the services include formulating the methodologies and strategies for mergers & acquisitions including demergers, implementation of the entire process, supporting the statutory approval process from courts and authorities, , statutory compliances under various laws, drafting of documents & Schemes and other related services for providing end to end solution to its clients.

Some of the M & A assignments handled by the firm are:

  • Acquisition of a European group of companies head quartered in the Netherlands by an Indian listed company engaged in the manufacture of auto parts having the impact of doubling the size of the Indian Group with acquisition.
  • The Firm has been regularly advising an Austrian – German Group for their various mergers and acquisition strategies for expanding the production capacity, improving the product portfolio, increasing the market reach and sourcing the newer cutting edge technology including some acquisitions outside India. The Acquisitions involved complex deals of company acquisitions to acquisitions of only intangibles in the form of marketing, technology and business intangibles.
  • The Firm also conceptualized and helped implementation of merger of three firms of professional firms. The firms were not in same profession but were in related professions and basic objective of the merger was to create synergy and create ability to expand internationally.
  • A US based large group engaged in ethnic food proposed to have strategic acquisition of an Indian Company for strengthening supply chain from India and also improve the product portfolio. The firm helped them in getting their transaction completed in India.
  • The Firm has worked on several transactions for strategic acquisitions of the Companies in Europe and other regions primarily aiming at either sourcing the technology or penetrating EU Markets / registrations / product approvals.
